Agreement between User and cpcharities.org
Welcome to cpcharities.org. The cpcharities.org website (the “Site”) is comprised of various web
pages operated by CP Charities, Inc (“CP Charities”). cpcharities.org is offered to you
conditioned on your acceptance without modification of the terms, conditions, and notices
contained herein (the “Terms”). Your use of cpcharities.org constitutes your agreement to all such
Terms. Please read these terms carefully, and keep a copy of them for your reference.


cpcharities.org is a Non-for-Profit and Sweepstakes/Contests Site.


CP Charities shares information about its,”Charity of the Month”, programs and its online slot
tournament fundraisers. We educate and raise funds for numerous not-for-profit organizations. CP
Charities Slot Tournament fundraisers are designed to help non for profits both in funding and
promotion. The CP Charities Slot Tournament Fundraiser is is a fun, free, and convenient way to
not only raise funds for non for profits but to educate people about the non-for-profit missions.
These tournaments are individually branded tournaments with special areas for messaging, and
branding of the non-for-profit. Any advertisement in the form of pop-ups or anything deemed
advertisement that is prohibited under IRS rules for non-for-profit activities does not fall under
these terms and conditions. NO advertisements will be shown once a voluntary donation is made.
There is no consideration to play in these free slot tournaments.


Privacy
Your use of cpcharities.org is subject to CP Charities’s Privacy Policy. Please review our Privacy
Policy, which also governs the Site and informs users of our data collection practices.


Electronic Communications
Visiting cpcharities.org or sending emails to CP Charities constitutes electronic communications.
You consent to receive electronic communications and you agree that all agreements, notices,
disclosures and other communications that we provide to you electronically, via email and on the
Site, satisfy any legal requirement that such communications be in writing.


Technical Information:
When a registered user accesses a CP Charities Tournament, we may collect technical
information about the user’s device, such as the IP address that requested the display of the CP
Charities Slot Tournament, the operating system type, and the identifiers associated with the device


COOKIES:
Cookies are text files that we and our service providers may place on your device’s browser to
enable our systems to recognize your browser and to provide added features and capabilities. We
may also track other types of information, such as what games users play, any download errors,
how long users have been participating in any CP Charities Slot Tournaments, the last time a user
accessed a CP Slot Tournament, user behavior, and gameplay, whether a user has won any of our

CP Charities does not knowingly collect, either online or offline, personal information from persons
under the age of thirteen. If you are under 18, you may use cpcharities.org only with the permission
of a parent or guardian.


User Content and Conduct
The Site may also include interactive areas or services (“Interactive Areas”), such as comment
areas, message boards, or other areas or services in which you or other users create, post, or
store any content, messages, materials, data, information, text, music, sound, photos, video,
graphics, applications, code or other items or materials on the Site (“User Content”). You are
solely responsible for your use of such Interactive Areas and use them at your own risk. You agree
not to post, upload to, transmit, distribute, store, create, or otherwise publish through any portion
of the Site any of the following:
a. User Content that is unlawful, libelous, defamatory, obscene, pornographic, indecent, lewd,
suggestive, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory,
false, misleading, fraudulent or otherwise objectionable;
b. User Content that would constitute, encourage or provide instructions for a criminal offense,
violate the rights of any party, or that would otherwise create liability or violate any local, state,
national or international law, including, without limitation, the regulations of the U.S. Securities and
Exchange Commission or any rules of a securities exchange such as the New York Stock
Exchange, the American Stock Exchange or the NASDAQ;
c. User Content that may infringe any patent, trademark, trade secret, copyright, or other
intellectual or proprietary rights of any party. By posting any User Content, you represent and
warrant that you have the lawful right to distribute and reproduce such User Content;
d. User Content that impersonates any person or entity or otherwise misrepresents your affiliation
with a person or entity;
e. Unsolicited promotions, advertising, solicitations, or political campaigning.
f. Offerings or promotion of raffles, lotteries, sweepstakes, contests, or other games of chance –
whether from the user or third-parties.
g. Private information of any third party, including, without limitation, addresses, phone numbers,
email addresses, Social Security numbers, and credit card numbers;
h. Viruses, corrupted data or other harmful, disruptive or destructive files; and
i. User Content that, in the sole judgment of YouCaring, is objectionable or which restricts or
inhibits any other person from using or enjoying the Interactive Areas or the Site, or which may
expose YouCaring or its users to any harm or liability of any type.
You further agree that you are solely responsible for your conduct while on the Site and using the
Services, and you agree that you will not do any of the following in connection with the Site, the
Services or its users:
∙ Use the Site or the Services in any manner that could interfere with, disrupt, negatively affect or
inhibit other users from fully enjoying the Site or that could damage, disable, overburden or impair
the functioning of the Site in any manner;
∙ Impersonate or post on behalf of any person or entity or otherwise misrepresent your affiliation
with a person or entity;
∙ Cheat or utilize unauthorized exploits in connection with the Site;
∙ Stalk, intimidate, threaten, or otherwise harass or cause discomfort to other users;
∙ Send, distribute or post spam, unsolicited or bulk commercial electronic communications, chain
letters, or pyramid schemes;
∙ Harvest or otherwise collect information about users, including email addresses, without their
consent;
∙ Use the Site or the Services for any illegal or unauthorized purpose or engage in, encourage, or
promote any illegal activity or any activity that violates these Site Terms; or
∙ Circumvent or attempt to circumvent any filtering, security measures or other features YouCaring
may from time to time adopt to protect the Site, the Service, its users, or third parties.
CP Charities takes no responsibility and assumes no liability for any User Content posted, stored,
or uploaded by you or any third party, or for any loss or damage thereto, or for any user conduct,
nor is CP Charities liable for any mistakes, defamation, slander, libel, omissions, falsehoods,
obscenity, pornography or profanity you may encounter. Your use of the Site, including any
Interactive Areas, is at your own risk. Enforcement of the user content or conduct rules set forth in
these Site Terms is solely at CP Charities, Inc discretion, and failure to enforce such rules in some
instances does not constitute a waiver of our right to enforce such rules in other instances. In
addition, these rules do not create any private right of action on the part of any third party or any
reasonable expectation that the Site will not contain any content that is prohibited by such rules. As
a provider of interactive services, CP Charities, Inc is not liable for any statements,
representations, or User Content provided by its users in any public forum, personal home page,
or other Interactive Area.
Although CP Charities has no obligation to screen, edit or monitor any of the User Content on the
Site, including in any Interactive Area, CP Charities reserves the right and has sole discretion, to
remove, screen, or edit any User Content posted or stored on the Site at any time and for any
reason without notice. You are solely responsible for creating backup copies of and replacing any
User Content you post or store on the Site at your sole cost and expense. Any use of the
Interactive Areas or other portions of the Site in violation of the foregoing violates these Site Terms
and may result in, among other things, termination or suspension of your rights to use the Services
and/or the Site.
If you post User Content to the Site, unless we indicate otherwise, you grant CP Charities, Inc and
its affiliates a nonexclusive, royalty-free, fully paid up, perpetual, irrevocable and fully sublicensable
and transferable right to use, reproduce, modify, adapt, publish, translate, create derivative works
from, distribute, perform and display such User Content throughout the world in any media on or
in connection with the Site and the promotion thereof including without limitation the right to use
your name, likeness, voice or identity. You grant CP Charities and its affiliates and sublicensees the
right to use the name that you submit in connection with such content if we choose. You
understand and agree that the use of your or other users’ name, likeness, voice, or identity in
connection with various features on the Site does not imply any endorsement of such feature or of
the Site of the CP Charities, Inc unless explicitly stated otherwise. You represent and warrant that
(a) you own and control all of the rights to the User Content that you post or you otherwise have
the right to post such User Content to the Site; (b) the User Content that you post or submit is
accurate and not misleading, and (c) use and posting of the User Content you supply does not
violate these Site Terms and will not violate any rights of or cause injury to any person or entity.


Hyperlinks
You may be granted a limited, non-exclusive right to create a text hyperlink to the Site for
noncommercial purposes, provided such link does not portray CP Charities, Inc or any of its
products and services in a false, misleading, derogatory, or otherwise defamatory manner and
provided further that the linking site does not contain any adult or illegal material or any material
that is offensive, harassing or otherwise objectionable. This limited right may be revoked at any
time. You may not use a CP Charities, Inc logo or another proprietary graphic of CP Charities to
link to this Site without the express written permission of CP Charities, Inc. Further, you may not
use, frame, or utilize framing techniques to enclose any CP Charities, Inc trademark, logo, or other
proprietary information, including the images found at the Site, the content of any text, or the
layout/design of any page or form contained on a page on the Site without CP Charities, Inc
express written consent. Except as noted above, you are not conveyed any right or license by
implication, estoppel or otherwise in or under any patent, trademark, copyright, or proprietary

CP Charities makes no claim or representation regarding and accepts no responsibility for, the

or Web sites linking to the Site, including without limitation WePay.com, PayPal.com, or
Stripe.com. Such sites are not under the control of CP Charities, Inc, and CP Charities, Inc is not
responsible for the contents of any linked site or any link contained in a linked site, or any review,
changes, or updates to such sites. CP Charities, Inc provides these links to you only as a

Cancellation/Refund Policy

“You may cancel your subscription at any time. Any cancellations made after 60 days of service
will not qualify for a refund. You may request a one-time donation refund within 30 days. Please

under the control of CP Charities and CP Charities is not responsible for the contents of any

the inclusion of any link does not imply endorsement by CP Charities of the site or any association
with its operators.


Certain services made available via cpcharities.org are delivered by third party sites and
organizations. By using any product, service or functionality originating from the cpcharities.org
domain, you hereby acknowledge and consent that CP Charities may share such information and
data with any third party with whom CP Charities has a contractual relationship to provide the
requested product, service or functionality on behalf of cpcharities.org users and customers.

CP Charities content is not for resale. Your use of the Site does not entitle you to make any

permission of CP Charities and the copyright owner. You agree that you do not acquire any

CP Charities reserves the right at all times to disclose any information as necessary to satisfy any
applicable law, regulation, legal process, or governmental request, or to edit, refuse to post or to
remove any information or materials, in whole or in part, in CP Charities’ sole discretion.

Charities is under no obligation to post or use any Submission you may provide and may remove
any Submission at any time in CP Charities’ sole discretion.


By posting, uploading, inputting, providing,
or submitting your Submission you warrant and represent that you own or otherwise control all of
the rights to your Submission as described in this section including, without limitation, all the rights
necessary for you to provide, post, upload, input or submit the Submissions.


Repeat Infringer Policy
In accordance with the Digital Millennium Copyright Act (“DMCA”) and other applicable law, CP
Charities has adopted a policy of terminating, in appropriate circumstances and at CP Charities,
Inc sole discretion, account holders who are deemed to be repeat infringers. CP Charities, Inc
may also at its sole discretion limit access to the Site and/or terminate the accounts of any users
who infringe any intellectual property rights of others, whether or not there is any repeat
infringement.


Copyright Complaints
If you believe that anything on the Site, including any Fundraiser, infringes upon any copyright
which you own or control you may file a notification of such infringement with our Designated
Agent as set forth below.

in removing or disabling access to the material or activity claimed to be infringing.


Third Party Accounts
You will be able to connect your CP Charities account to third party accounts. By connecting your
CP Charities account to your third party account, you acknowledge and agree that you are
consenting to the continuous release of information about you to others (in accordance with your
privacy settings on those third party sites). If you do not want information about you to be shared
in this manner, do not use this feature.


Advertisements and Promotions;
Third-Party Products and Services
CP Charities, Inc may run advertisements and promotions from third parties on the Site or may
otherwise provide information about or links to third-party products or services on the Site. CP
Charities, Inc does not endorse or make any representations or warranties regarding any third
party products, services, promotions, or vendors. Your business dealings or correspondence with,
or participation in promotions of, such third parties, and any terms, conditions, warranties, or
representations associated with such dealings or promotions, are solely between you and such
third party. CP Charities is not responsible or liable in any manner for any third party products or
services, for any loss or damage of any sort incurred as the result of any products, services,
dealings, or promotions or as the result of the presence of such non-CP Charities advertisers or
third party information on the Site.


International Users
The Service is controlled, operated, and administered by CP Charities from our offices within the
USA. If you access the Service from a location outside the USA, you are responsible for
compliance with all local laws. You agree that you will not use the CP Charities Content accessed
through cpcharities.org in any country or in any manner prohibited by any applicable laws,
restrictions or regulations.


Indemnification
You agree to indemnify, defend and hold harmless CP Charities, its officers, directors, employees,
agents, and third parties, for any losses, costs, liabilities, and expenses (including reasonable
attorney’s fees) relating to or arising out of your use of or inability to use the Site or services, any
user postings made by you, your violation of any terms of this Agreement or your violation of any
rights of a third party, or your violation of any applicable laws, rules or regulations. CP Charities
reserves the right, at its own cost, to assume the exclusive defense and control of any matter
otherwise subject to indemnification by you, in which event you will fully cooperate with CP
Charities in asserting any available defenses.


Arbitration
In the event, the parties are not able to resolve any dispute between them arising out of or
concerning these Terms and Conditions, or any provisions hereof, whether in contract, tort, or
otherwise at law or in equity for damages or any other relief, then such dispute shall be resolved
only by final and binding arbitration pursuant to the Federal Arbitration Act, conducted by a single
neutral arbitrator and administered by the American Arbitration Association, or a similar arbitration
service selected by the parties, in a location mutually agreed upon by the parties. The arbitrator’s
award shall be final, and judgment may be entered upon it in any court having jurisdiction. In the
event that any legal or equitable action, proceeding, or arbitration arises out of or concerns these
Terms and Conditions, the prevailing party shall be entitled to recover its costs and reasonable
attorney’s fees. The parties agree to arbitrate all disputes and claims in regards to these Terms and
Conditions or any disputes arising as a result of these Terms and Conditions, whether directly or
indirectly, including Tort claims that are a result of these Terms and Conditions. The parties agree
that the Federal Arbitration Act governs the interpretation and enforcement of this provision. The
entire dispute, including the scope and enforceability of this arbitration provision, shall be
determined by the Arbitrator. This arbitration provision shall survive the termination of these Terms
and Conditions.


Class Action Waiver
Any arbitration under these Terms and Conditions will take place on an individual basis; class
arbitrations and class/representative/collective actions are not permitted. THE PARTIES AGREE
THAT A PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN EACH’S
INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY
PUTATIVE CLASS, COLLECTIVE AND/ OR REPRESENTATIVE PROCEEDING, SUCH
AS IN THE FORM OF A PRIVATE ATTORNEY GENERAL ACTION AGAINST THE
OTHER. Further, unless both you and CP Charities agree otherwise, the arbitrator may not
consolidate more than one person’s claims, and may not otherwise preside over any form of a
representative or class proceeding.


Liability Disclaimer
THE INFORMATION, SOFTWARE, PRODUCTS, AND SERVICES INCLUDED IN OR
AVAILABLE THROUGH THE SITE MAY INCLUDE INACCURACIES OR
TYPOGRAPHICAL ERRORS. CHANGES ARE PERIODICALLY ADDED TO THE
INFORMATION HEREIN. CP CHARITIES, INC AND/OR ITS SUPPLIERS MAY MAKE
IMPROVEMENTS AND/OR CHANGES IN THE SITE AT ANY TIME.


CP CHARITIES, INC AND/OR ITS SUPPLIERS MAKE NO REPRESENTATIONS
ABOUT THE SUITABILITY, RELIABILITY, AVAILABILITY, TIMELINESS, AND
ACCURACY OF THE INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND
RELATED GRAPHICS CONTAINED ON THE SITE FOR ANY PURPOSE. TO THE
MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL SUCH
INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND RELATED GRAPHICS
ARE PROVIDED “AS IS” WITHOUT WARRANTY OR CONDITION OF ANY KIND. CP
CHARITIES, INC AND/OR ITS SUPPLIERS HEREBY DISCLAIM ALL WARRANTIES
AND CONDITIONS WITH REGARD TO THIS INFORMATION, SOFTWARE,
PRODUCTS, SERVICES, AND RELATED GRAPHICS, INCLUDING ALL IMPLIED
WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.


TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
SHALL CP CHARITIES, INC AND/OR ITS SUPPLIERS BE LIABLE FOR ANY DIRECT,
INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR
ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES
FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY
CONNECTED WITH THE USE OR PERFORMANCE OF THE SITE, WITH THE DELAY
OR INABILITY TO USE THE SITE OR RELATED SERVICES, THE PROVISION OF OR
FAILURE TO PROVIDE SERVICES, OR FOR ANY INFORMATION, SOFTWARE,
PRODUCTS, SERVICES AND RELATED GRAPHICS OBTAINED THROUGH THE SITE,
OR OTHERWISE ARISING OUT OF THE USE OF THE SITE, WHETHER BASED ON
CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF CP
CHARITIES, INC OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE
POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT
ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL
OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE, OR WITH ANY OF
THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO
DISCONTINUE USING THE SITE.


Termination/Access Restriction
CP Charities reserves the right, in its sole discretion, to terminate your access to the Site and the
related services or any portion thereof at any time, without notice. To the maximum extent
permitted by law, this agreement is governed by the laws of the State of Missouri and you hereby
consent to the exclusive jurisdiction and venue of courts in Missouri in all disputes arising out of or
relating to the use of the Site. Use of the Site is unauthorized in any jurisdiction that does not give
effect to all provisions of these Terms, including, without limitation, this section.


You agree that no joint venture, partnership, employment, or agency relationship exists between
you and CP Charities as a result of this agreement or use of the Site. CP Charities’s performance
of this agreement is subject to existing laws and legal process, and nothing contained in this
agreement is in derogation of CP Charities’s right to comply with governmental, court, and law
enforcement requests or requirements relating to your use of the Site or information provided to or
gathered by CP Charities with respect to such use. If any part of this agreement is determined to
be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty
disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will
be deemed superseded by a valid, enforceable provision that most closely matches the intent of the
original provision and the remainder of the agreement shall continue in effect.


Unless otherwise specified herein, this agreement constitutes the entire agreement between the user
and CP Charities with respect to the Site and it supersedes all prior or contemporaneous
communications and proposals, whether electronic, oral, or written, between the user and CP
Charities with respect to the Site. A printed version of this agreement and of any notice given in
electronic form shall be admissible in judicial or administrative proceedings based upon or relating
to this agreement to the same extent and subject to the same conditions as other business
documents and records originally generated and maintained in printed form. It is the express wish
to the parties that this agreement and all related documents be written in English.


Severability
If any provision of these Site Terms shall be deemed unlawful, void, or for any reason is
unenforceable, then that provision shall be deemed severable from these Site Terms and shall not
affect the validity and enforceability of any remaining provisions.


Notice to California Users
If you are a California resident, you may have these Site Terms mailed to you electronically by
sending a letter to the address above with your electronic mail address and a request for these Site
Terms. Under California Civil Code Section 1789.3, California Website users are entitled to the

CP Charities reserves the right, in its sole discretion, to change the Terms under which
